Manage Capital Using Percentages (%)

You can manage a company's capital in percentages instead of a number of shares. This is useful if the company does not issue shares, or if you only know the percentage each shareholder owns.

☝ Step 1: create a percentage class

The percentage is no longer chosen in the company's Capital management field. It is set in a share class.

1. Open Companies, then the company page. If it does not exist yet, first click Add a company.
2. Open the Shareholders / Share classes menu.
3. Create a class and choose Percentage in Class type.
4. Fill in the other fields, then save.

The Quantity column will stay empty: ownership is expressed as a percentage. The other class types are Shares, Units and Amount (see New Class Types: Units, Amount, and Percentage).

✍ Step 2: enter the owners' percentages

1. In the Ownership tab, click Manage ownership.
2. Enter the transaction date.
3. For each owner, enter their ownership percentage (up to 9 decimal places).
4. Add a comment if needed, for example the reason for the change.
5. Click Save.

The total must be 100%. Otherwise, a warning appears. Missing information? Add an “Others” owner with the percentage that completes the total.

⚖️ Adjust voting rights (optional)

By default, voting rights follow ownership percentages. If that is not the case in your company, you can enter them yourself.

1. In the Ownership tab, enable the manual adjustment of voting rights.
2. Click Manage ownership.
3. For each owner, enter the ownership percentage and the voting rights percentage.
4. Check that each total is 100%, then click Save.

Good to know:

• Both totals are checked separately. If voting rights are not 100%, saving is blocked.
• An owner can hold 0% ownership and 100% voting rights, or the opposite.
• If you enter voting rights that differ from ownership, the option turns on automatically.
• To turn the option off, each owner's voting rights must first match their ownership.
• When transferring, you also enter the voting rights transferred. The receiving owner's percentages are calculated automatically.

Can I switch back to share-based management?

Yes. A Percentage class can be changed into a Shares or Units class.

Can I export ownership data?

Yes, to Excel (.xls), from the Ownership tab.
