Create and Manage Shares

The Dilitrust platform enables structured issuance, allocation, and tracking of company shares, including ownership transfers and transaction history.


In this article learn how to:



Create Share Based Company


When creating the company, configure the following options:

  • Share Numbering: Assign a unique code to each share for easier traceability in share movements and operations.

  • Type of Ownership: Enable the distinction between bare ownership and usufruct, allowing for partial ownership structures.

  • Automatic Numbering: Activates incremental IDs for Share transactions. These values are stored and auditable in the Shareholding Transaction History.



Then navigate to:


Shareholding > Shares



 

In this screen you will be able to view on top the summary of the total Voting Rights, Capital Amount, and issued Shares of the company, as well as the possibility to Add new Shares.



Issue Share


In the Share Menu, Click on "add shares". here a popup will appear and you'll have to define the following informations:


Define:

  • Share Type/Designation: the type of share you want to issue, the list can be enriched in the configuration > data customisation  section by an admin.

  • Whether the shares contribute to Capital and/or Voting Rights: We suggest to use the Capital + Voting right to guarantee the maximum level of flexibility.

  • Value per share and Voting rights per share,  with the possibility to apply manual adjustment to Voting Rights after the issuance.


In this example we'll be issuing 50 A-Type stock, each with a Share value of 100€ and 2 voting rights.



Assign Shares


Once the shares have been created, click on the "+" button on the action column to assign them.


The popup will let you configure the Transaction date.


In this example we will be assigning all 50 issued.


  • Allocate 50% to John Doe

  • Allocate 50% to Jean Tissot



Optionally, it is possible to assign already allocated shares by checking the "Do not use unassigned shares".
Using this option, you will be able to choose whether

  • Issue new share and assign them to a new shareholder.
  • Issue new shares and distribute them in proportion to the distribution of shares before the transaction.




After the assignation operation, we will be able to see all shareholders, grouped by shared type that have been issued by the company.


Stock Editing


When Stock are assigned and Shareholders are defined, you may need to edit the value of the stock that are assigned to shareholders, click on the icon highlighted to edit The A-Type Stock we  assigned.



In the popup that appears you can modify:

  • Total number of shares

  • Share value ( if Capital based shared)

  • Voting rights (if Voting Right based shares)

The platform will automatically recalculate available shares.
In this example, 50 unassigned shares will appear after the edit.



After the operation is complete, you'll see the new amount of A-Type Stock Total shares: 100 in Total, as well as the new value per share, now set to 60 EUR.



Transfer Shares


in the Dilitrust Entities, one can easily Manage the shares Owned by either a Company or an Individual, by navigating to
Holding > Owned Companies.


In this screen you are able to have a quick view of all detentions, and the possibility to perform actions on those detention (Transfer, Blocking - Unblocking - Lending ).


Click on the double arrow button to perform a Transfer of Shares.


N.B. Inside the Company view, it is also possible to review all the Shareholders that owns a part of the company, and  perform actions on owned shares from that screen. This can be found under: Company > Shareholdings > Shareholders .



In the popup you'll see a 3-step process to execute the transaction operation. In these you will have to define

  • The Share type to Transfer: here A-Type Stock.
  • the Amount to move: in this example 25 Shares.
  • the Recipient of the Transfer: here in the form of the company Orion Tech Holdings.




The last step will provide you with the summary of your transfer operation.



View Transaction History


To ensure traceability and compliance, all share-related operations—issuance, assignment, edits, and transfers—are automatically recorded in the Shareholding Transaction History.


Navigate to:

Shareholding > Transaction History



In this view, you can:

  • See a chronological list of all operations performed on the company's capital structure

  • Identify who performed each action, the date, and the entities involved

  • Track share quantities, values, and recipients or sources for each transaction


N.B  Be sure to enable the "Detailed Table of Exchanges" option to display the. ledger view for your shareholding operations.


This detailed log is essential for auditing purposes and legal documentation, ensuring a transparent and fully compliant shareholding record over time.
